1. Agreement to Terms

These Terms & Conditions ("Terms") govern your access to and use of SEO Agent("Service"), operated by Mithila Stack Private Ltd.. By creating an account, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy.

2. The Service

SEO Agent provides website SEO auditing, AI-generated insights, project management, and optional automated code-fix workflows that may open GitHub pull requests. Features may differ between free and paid plans and may change as we improve the product.

3. Accounts & Eligibility

• You must be at least 18 years old to use the Service.
• You are responsible for activity under your account and connected GitHub credentials.
• You must provide accurate billing information for paid subscriptions.
• We may suspend accounts that abuse the Service, violate these Terms, or pose security risks.

4. Subscriptions & Pricing

Paid plans, prices, currencies, and included features are shown on our Pricing page and at checkout. Prices may include applicable taxes (such as GST in India) as displayed during payment. We may update pricing prospectively; existing active subscription periods generally continue until expiry under the terms at purchase unless otherwise stated.

5. Payments via Razorpay

Online payments are processed by Razorpay. By completing checkout you authorize payment through Razorpay's payment methods. Successful payment activates the corresponding subscription for the plan duration. Failed or cancelled payments do not grant premium access.

You must comply with Razorpay's terms where applicable. We are not responsible for payment failures caused by insufficient funds, bank declines, network issues, or incorrect payment details.

6. Refunds & Cancellations

Unless required by applicable law or explicitly stated at checkout, subscription fees are generally non-refundable once the paid period has started and digital services have been made available. If you believe a charge was made in error, contact contact@mithilastack.com within 7 days of the transaction with your order/payment ID.

You may stop using premium features when your subscription period ends. Admin-assigned complimentary access may be revoked at our discretion.

7. Acceptable Use

You agree not to:

• Use the Service for unlawful, harmful, or fraudulent purposes
• Attempt to bypass payment, rate limits, or security controls
• Scan or modify systems you are not authorized to access
• Abuse free audit endpoints or automated workers
• Reverse engineer or resell the Service without written permission

8. Automated Fixes & GitHub PRs

Fix & PR features may modify repository files and open draft pull requests. You remain solely responsible for reviewing, testing, and merging any changes. We do not guarantee that automated patches will pass builds, improve rankings, or be suitable for every codebase. Always review diffs before merging.

9. Intellectual Property

The Service, branding, UI, and original content are owned by us or our licensors. You retain ownership of your websites, repositories, and content you submit. You grant us a limited license to process that content solely to provide the Service.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SEO outcomes depend on many factors outside our control; we do not guarantee search rankings, traffic, or revenue.

11. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim relating to the Service is limited to the amounts you paid us for the Service in the three (3) months preceding the claim.

12. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your use of the Service, your websites/repositories, or your violation of these Terms or applicable law.

13. Governing Law

These Terms are governed by the laws of India. Courts in Bangalore, Karnataka shall have exclusive jurisdiction, subject to any mandatory consumer protections that apply.

14. Changes to Terms

We may update these Terms periodically. Material changes will be reflected by updating the "Last updated" date. Continued use after changes means you accept the revised Terms.
